Terms of Service

Effective: August 14, 2026 · Andium Inc. ("Andium," "we," "us")

These Terms govern access to and use of the Invisiprint site-monitoring service (the "Service"). By creating an account, texting the Service, or using it in any way, you agree to these Terms on behalf of yourself and, where applicable, the organization that authorized your access ("Customer"). If you do not agree, do not use the Service.

1. The Service

Invisiprint processes video and imagery from cameras at industrial facilities to provide monitoring, person-tracking, AI-generated analysis, user-defined monitoring services, alerts, and a conversational interface. The Service includes web, API, and SMS interfaces.

By providing your mobile number and using the SMS interface, you consent to receive automated texts (responses and alerts) from the Service. Message frequency varies; message and data rates may apply. Reply STOP to opt out or HELP for assistance. Consent to receive texts is not a condition of any purchase. See our Privacy Policy for how SMS data is handled.

6. AI outputs — important disclaimer

The Service uses machine-learning models (detection, re-identification, facial recognition, vision-language models). Outputs are probabilistic and may be incomplete or incorrect. Identifications may be wrong; events may be missed; analyses (including equipment-failure assessments) are informational aids, not professional judgments. The Service is not a life-safety system and must not be relied upon as the sole means of protecting people, property, or equipment. Human verification is required before any consequential action (e.g., personnel or law-enforcement action) is taken based on an output.

7. Data

As between the parties, the Customer owns its footage and site data. Andium may use Customer-labeled training data to improve models serving that Customer, and operational telemetry to run and secure the Service, as described in the Privacy Policy.

8. Fees and third-party services

Fees, if any, are as agreed between Andium and the Customer. The Service depends on third-party infrastructure (e.g., cloud GPU hosting, SMS carriers); their availability, terms, and charges (including carrier message rates and A2P fees) are outside our control.

9. Intellectual property

Andium and its licensors own the Service, its software, and models. The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the service term. Feedback may be used by Andium without restriction.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDIUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY EVENT WILL BE DETECTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDIUM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. ANDIUM'S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER FOR THE SERVICE IN THAT PERIOD (OR US$100 IF NO FEES WERE PAID).

12. Indemnification

The Customer will defend and indemnify Andium against claims arising from the Customer's footage, its monitoring practices, its failure to provide legally required notices or obtain consents (including biometric consents), or its violation of these Terms.

13. Termination

Either party may terminate as agreed in the applicable service agreement; we may suspend or terminate access for material breach of these Terms. Upon termination, Customer data is handled per the Privacy Policy's retention terms.

14. General

These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules, with exclusive venue in the state and federal courts of New York County, New York. If any provision is unenforceable, the remainder stands. Failure to enforce is not a waiver. These Terms plus any signed service agreement are the entire agreement; if they conflict, the signed agreement controls.

15. Changes

We may update these Terms by posting a revised version with a new effective date; material changes will be notified to account holders. Continued use after changes take effect constitutes acceptance.
